SUBSCRIPTION AGREEMENT By accepting this agreement between $ite Manager Inc. ("seller"), and Project Manager (the "product"), the Purchaser is consenting to be bound by and becomes a party to this agreement. If Purchaser does not agree to all of the terms of this agreement, the Purchaser must not continue with the application process or use the product. 1. The Seller grants during the subscription period, a non-exclusive and non-transferable license to use for personal or internal business purposes the program titled: Project Manager. This license does not entitle Purchaser to make or distribute copies of the product or receive technical support, telephone assistance, or enhancements or updates to the Product beyond that stated below. 2. RESTRICTIONS. Except as otherwise expressly permitted in this Agreement, Purchaser may not: (i) modify or create any derivative works of the Product or documentation, including translation or localization; (ii) disassemble, reverse engineer, or otherwise attempt to derive the source code for the Product (except to the extent applicable laws specifically prohibit such restriction); (iii) copy, redistribute, encumber, sell, rent, lease, sublicense, or otherwise transfer rights to the Product; (iv) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels in the Product. 3. SUSPENSION OF SERVICE. At the sole discretion of Seller, service for a Purchaser may be terminated and future access not granted. If this occurs, the Purchaser's sole compensation will be to receive a prorated monthly subscription fee based on Purchaser's last full payment. 4. PROPRIETARY RIGHTS. Title, ownership rights, and intellectual property rights in the Product shall remain with the Seller. Copyright and other intellectual property laws protect the Product. No unauthorized use of the product is allowed without express permission of the Seller. 5. WARRANTEE. The product is without warranty of any kind, including without limitation the warranties that it is free of defects, merchantable, fit for a particular purpose or non-infringing. The entire risk as to the quality and performance of the product is borne by Purchaser. Should the product prove defective in any respect, Seller's sole responsibility will be to refund the monthly subscription price for the month where the problem occurred. No use of the product is authorized hereunder except under this disclaimer. 6. LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event will Seller be liable for any indirect, special, incidental or consequential damages arising out of the use of or inability to use the product, including, without limitation, damages for loss of goodwill, work stoppage, computer failure or malfunction, or any and all other commercial damages or losses, even if advised of the possibility thereof, and regardless of the legal or equitable theory (contract, tort or otherwise) upon which the claim is based. In any case, Seller's entire liability under any provision of this agreement shall not exceed a single user's monthly subscription price of the product. 7. PRODUCT SUPPORT. The Seller will provide technical support as long as the subscription is in effect. Support will be provided only to the user of record via e-mail to the info@sitemanageinc.com address. 8. TERMINATION. The subscriber may terminate services at any time. Monthly invoicing will be prorated from between the first of the month and the email date. After termination of services, stored data may be accessed for up to 3 months of termination date at no costs to the user.
